Quasar Aerospace Industries, Inc. (“QAI”) is an integrated aviation/aerospace corporation which has been created to pursue an innovative and highly synergistic business strategy to train aircraft pilots and develop a unique and competitive aviation corporation. This strategy will be achieved through a process by which several businesses in the aviation/aerospace industry will be combined into an integrated and self-supporting network which will have the ability to operate in a more complex strategic environment and to achieve greater success than would have been possible if they were operating purely alone. Within this context QAI will not acquire and operate these business units according to the master corporate plan. Rather, the goal will be for these entities to retain their operational independence and unique corporate cultures. In this fashion, the resources, talents, insight, experience, and market potential of each will be supported and enhanced in a cooperative process which will lead to increased productivity, efficiency, and scalable economies resulting in increased profitability and market relevance.
The key to Quasar Aerospace Industries, Inc.’s strategic vision is centered on two core principles: (1) a phased approach to the development of individual acquisitions and opportunities which will insure early profitability and minimize financial risk through time, and (2) the development of an integrated network of companies whose synergies will enhance profitability throughout the company. Acquisition and operation of existing companies, with a proven track record and significant consolidated cash flow, will ensure that QAI will proceed with the development and expansion of the business plan supported by positive consolidated cash flow from day one.
Quasar Aerospace Industries, Inc. owns the following subsidiaries:
A-Cent Aviation, Inc., a Colorado corporation (ACA) – ACA is a wholly-owned subsidiary of QAI that operates an FAA Part 141 flight school at Colorado Springs Municipal Airport in Colorado Springs, CO and a satellite location in Jacksonville, FL. ACA also operates a Computer Assisted Test Center (CATS) and Comira testing facility at both location which provide FAA examinations and other vocational/professional trades. ACA is also a Certified Cessna Pilot Center (CPC). This CPC designation is highly sought after and recognizes ACA as a leader in flight training in the nation and a partner with Cessna. ACA is a qualified VA flight school which can accept VA benefit funds to apply to private pilots continued aviation training. ACA is finalizing its Student and Exchange Visitor Information System (SEVIS)/Student and Exchange Visitor Program (SEVP) approval which will permit ACA to recruit and train international students. ACA will have the ability to issue M-1 visas to foreign students and M-2 visas to the immediate family of the non-U.S. student.
Atlantic Aviation, Inc., a Florida corporation (AAI) – AAI is a wholly-owned subsidiary of QAI which operates a flight school at Herlong Airport in Jacksonville, Florida, and plans to develop and operate flight schools nationwide and train aviation professionals around the country. AAI personnel are highly qualified and experienced and stand by its training program. AAI currently holds a 95% graduation rate and offers a “check ride guarantee” for its aviation students.
Quasar Aircraft Corporation, a Nevada corporation (QAC) – QAC is a wholly-owned subsidiary of QAI which owns and maintains the aircraft leased to AAI and ACA flight school operations.
Corporate Air Repair, LLC, a Florida limited liability company (CAR) – CAR is a wholly-owned subsidiary of QAC which operates an aircraft maintenance and repair facility located at Herlong Airport in Jacksonville, Florida. CAR is the only maintenance facility located at the airfield and specializes in Cessna and Piper aircraft.
Quasar is currently positioning itself to acquire Holdings Aviation Corp., a Florida corporation (HAVC) which will allow Quasar’s unique business model to set itself apart from the competition by offering a myriad of products and services through its subsidiaries.
HAVC will be organized with a strong central management team overseeing the management, operations, finances and synergistic relationships among the various companies owned and controlled by HAVC. Each of the companies owned and controlled by HAVC will, for the most part, continue to operate under their existing management teams but with the support and benefits available through the HAVC network. The operations and services provided by the collected companies will include the following:
Aerospace – Among other things, HAVC companies
- Will provide maintenance and repair services for aircraft of all kinds and types, including airframe and engine maintenance and complete avionics installations working primarily in the aerospace maintenance support area as a Cessna factory-trained industry leader; and
- Will offer aircraft management, private jet sales and acquisitions, as well as own and operate domestic and international private jet charter service while managing aircrafts.
Overall, HAVC will provide a full spectrum of aviation services including aircraft maintenance completions and refurbishments, engineering, fixed base operations, along with aircraft management, charter services, aircraft sales and personnel services. HAVC will be uniquely positioned to provide all services under one roof as well as transitional jet training utilizing Quasar’s existing certifications.
